You can work on 256 without too much problems but I suggest working on 512.
I agree, 512M as a minimum if it doesn't hurt your budget too much.
The good news though, you can try 256, and bump it up to 512 if it isn't enough.

Tested fine on 256MB! For 128MB you need to tuning CPanel, included:
1. Use Pure-FTPD instead ProFTPD
2. Use Dovecot instead Courier
3. Use NSD instead BIND
4. Use only 1 Apache instance
5. Limit PHP Mem to 32MB, max 64 MB. Fine tuning Joomla working fine on 32-48 MB.
You must also remove any unnecessary processes/application such as:
- bluetooth, anacron, yum updates, etc. You see these by checking any running processes (use ps -ax or setup on CentOS/RHEL box).

The amount of memory you need depends on the services you will have active. If you plan on having all of the default cPanel services enabled (especially Exim w/ SpamAssassin) I would not recommend having any less than 384MB. You can certainly get by with less if you are only running services selectively.
