HUGE problems with cpanel + freebsd

I have a server that is constantly locking up so that no new whm or ssh sessions can occur. Apache is running but non responsive. I've checked maxfiles, maxusers and memory all appear to be clean and without issue.

I'm running perl 5.8.2 it's very strange i can reboot the box and when it comes back it's fine for awhile. Then just randomly at any point it'll lock up like this.

If i stay logged in it responds fine but if i try to start a new ssh session it freezes. Like right now i'm logged in and it's having this issue but i can't find any reason for it.
