Don't compress your files. The easiest way to do it is just to upload your theme into /usr/local/cpanel/base/frontend/
You can tar the files if you want and just untar them in that directory.

    Default thanks but..

    thank u for your reply,

do I create a new folder for the new theme into /usr/local/cpanel/base/frontend/myNewXtestTheme then I uploade the files there without comressing?

will that appear as an extra theme into WHM?

Make sure the path to the style.css file is correct. Also be sure to refresh the page to clear the cache.
