I isse an update via cpanel, also /scripts/upcp --force . They all hang. I am also trying any regular command ie /bin/su /usr/sbin/sbin and they just freeze. I can see them under the process list as if their just frozen there.

    Strange !

Did you check the logs for error messages? That's the first things you need to do.

Of course. Nothing at all out of the ordinary.

I noticed in a 40 minute time perious our load averages are 10.19 9.94 8.05

We don't have a whole lot happening. 50 httpd process and 45 mysqld.

this is a 2.8ghz w/ 2 gigs of ram machine.

    Go on, have a guess
If you have unexplainable load averages then you really do need to check for rootkit installation. If you can determine what's causing the high loads, then clearly you need to address those. You should also be sure that it's not a DOS attack on the server that's flooding the network card.

Lasty, if you're only getting problems with certain utilities, try running them through strace to see if you can identify on which resource they might be hanging.

Maybe its just me but isnt 45 instances of mysqld at the same time kind of a heavy load maker ?. Can you tell what they are hammering to do this kind of usage ?
