considering updating apache....
upgrading php to Version 4.4.4
and ssl to SSL Module (Version 2.8.28)
but, i guess...im wondering if it's worth it...will a lot of my sites go down?

Your sites shouldn't go down if everything is configured properly. Having said that, if you're unsure of your boxes configuration or are simply worried about breaking something try a paid administrator. Alot of companies can do this for you fairly cheaply, and if things go amiss you have a pro right there to help fix them. GL!
