httpd down/ apache restarting every 45 seconds?

Not sure whats happening but basically every 45 seconds or so browsing will be interrupted on my server, a quick refresh brings the page back.. after investigating i can see apache is restarting every 45 seconds or around abouts.

i did get some errors earlier but they have gone away and httpd is now showing as UP, also apache restarts manually fine but it does not remove the error.

any suggestions?

when httpd went down earlier;
httpd failed @ Tue Aug 7 21:59:09 2012. A restart was attempted automagically.

Service Check Method: [socket connect]

Reason: Unable to connect to port 80 on 127.0.0.1: Connection refused: Died at /usr/local/cpanel/Cpanel/TailWatch/ChkServd.pm line 577.

then i got lots of these caused by a cron script:

httpd (no pid file) not running
httpd (no pid file) not running
httpd (no pid file) not running
(98)Address already in use: make_sock: could not bind to address 0.0.0.0:443
no listening sockets available, shutting down

It's indicating it cannot bind to port 443, so does port 443 show as listening?

Code:
lsof -i :443
netstat -an | grep :443
Also, if you have a firewall, could you disable it if using CSF/APF, or flush it if you aren't using that to see the results?
