MySQL is unstable and your upgrade didn't go smoothly. Re-install MySQL one more time and if that doesn't help submit a ticket with your data center. Do you have backup copies of your DBs?

Try

/scripts/mysqlup --force

chown -R mysql:mysql /var/lib/mysql

then

/scripts/restartsrv_mysql

I had already given that a try. I tried it again and still having the issue.

here is something I missed that I'm seeing when its restarting.

libgcc_s.so.1 must be installed for pthread_cancel to work

The log file is now 63 Megs large ;)

here is an error I'm getting when I try the update also.

Waiting for MySQL to restart ...
root 32722 0.2 0.0 2132 976 pts/0 S 10:48 0:00 /bin/sh /usr/bin/mysqld_safe --datadir=/var/lib/mysql --pid-file=/var/lib/mysql/host.servername.com.pid
mysql 488 0.0 0.6 105592 13996 pts/0 S 10:48 0:00 /usr/sbin/mysqld --basedir=/ --datadir=/var/lib/mysql --user=mysql --pid-file=/var/lib/mysql/host.servername.com.pid --skip-locking
This script updates all the mysql privilege tables to be usable by
MySQL 4.0 and above.

This is needed if you want to use the new GRANT functions,
CREATE AGGREGATE FUNCTION, or the more secure passwords in 4.1

You can safely ignore all 'Duplicate column' and 'Unknown column' errors
because these just mean that your tables are already up to date.
This script is safe to run even if your tables are already up to date!
