    i need to optimize my.cnf. my server is new dedicated and high cpu / memory load in mysql.

    its nice to see your specs, but where is your database information?
    how big is it? what scripts you use? server solely for mysql?

    show us your my.cnf file and tuner output

    first thing you should do is re-install your OS and install a 64bit OS eg. Centos/CloudLinux x64

    You currently use a 32bit OS which limits your overall memory/RAM usage to about 4GB and mysql to 2GB. And you have 24Gb installed which means 20 Gb RAM is wasted and will never be used.
