    /usr/sbin/mysqld --basedir/ --datadir/var/lib/mysql --usermysql --pid-file/var/lib/mysql/server2.hostemergency.com.pid --skip-locking

That took up 576.26% of the Memory. How does that make any sence? What can I do to fix this my server load shoots up to 40 randomly and thats not 4.0 thats right thats 40.! I think that is the source of my problem. Running the TOP command doesn't really show much of any thing else to me.

This is a very common Php script(s) problem. You need to find who is causing this problem, upgrade and/or secure their scripts. Best of all, secure your server. By the way, this problem has been covered many times in these forums.
