can any one tell me the procedure to upgrade mysql from 4.xx to 5.xx in cpanel ...............

Can only be done from shell IIRC.

Backup your SQL databases and all that good stuff before you go ahead.

Main >> Server Configuration >> Tweak Settings

This will only update you to the latest version of whichever branch of MySQL you are using. So if you are using 4.1, it will update you to the latest 4.1, not to 5.0.
