Try run /scripts/upcp from shell prompt - you will get more informative outpust, than under WHM.
That may happen for different reason, most likely you just cannot connect to cpanel upgrading servers and upgrade scipts just hungap for timeout reason. Also may be you haven' installed all required perl or rpm modules in system or they lost.
