VPS or Dedicated Server cPanel License?

I'm still unclear which license I need. I will run Centos/Cpanel in a VM on my Win 2008 R2 Hyper V server. I will only be offering my customers shared hosting so does this mean because I have Cpanel in its own VM I need a Virtual Private Server license even though I am not offering my customers VPS service?

And if so why is there such a difference in price between dedicated server and VPS?

I think there is some confusion here about the purpose of the two license types.

cPanel running in a VPS container can use either a VPS license or a dedicated license.

cPanel running on a dedicated server must use a dedicated license.

The VPS license is not intended for selling VPS containers to your customers. It is for running cPanel in a VPS container and selling regular cPanel hosting and reseller accounts to customers. There is no provision in cPanel for reselling VPS containers and that is not what the VPS license is meant for.
