Mine don't seem to be working. I get a prompt for a download. In it, there's a little perl-looking script with a re-direct.

    ie, domain.com/cpanel

why is it trying to DL instead of redirect me? do i need to have perl installed with apache to run this?

Make sure that the ScriptAlias for /whm and /cpanel exists in the httpd.conf. You should also try /scripts/upcp --force. Sometimes such problem can be due to the corruption of suexec binary or due to problem with cgi module within apache. Check to be sure mod_cgi is enabled using '/usr/local/apache/bin/httpd -l', if its missing in that case you would have to recompile Apache.
